Terms and Conditions Your use of the ANZ Remote Training and Assistance service will be subject to these Terms and Conditions. By selecting the Continue button, you represent and warrant that you have read, understand and agreed to the Terms and Conditions on behalf of your company. General Australia and New Zealand Banking Group Limited (ABN 11 005 357 522) (ANZ) reserves the right to amend the Terms and Conditions from time to time without notice to you. You must not reverse engineer, decompile or otherwise attempt to decipher any code in connection with the ANZ Remote Training and Assistance service or any other aspect of ANZ's online technology. You must not resell and/or distribute the use of ANZ Remote Training and Assistance service. You must not access and/or use the ANZ Remote Training and Assistance service in any manner that could damage, disable, overburden, impair or otherwise interfere with or disrupt this service or any networks or security systems of ANZ. You are solely responsible for the security of the confidential information within your desktop. The Customer Migration representative will use reasonable endeavours to perform the services promptly, but no warranty is given or liability is accepted by ANZ in respect of the services performed or not performed as the case may be. Provision of these services does not imply any guarantee that the Customer Migration representative will be successful in correcting software malfunctions, or resolving any problems you may have. Confidential Information Unless expressly authorised in writing by the other party, neither party shall disclose to any third party any non-public information or materials provided by the other party under these Terms and Conditions and reasonably understood to be confidential (Confidential Information), or such Confidential Information in any manner other than to perform its obligations under these Terms and Conditions. The foregoing restrictions do not apply to information that (i) is in or becomes available through the public domain; (ii) is already lawfully in the receiving party's possession; (iii) was known to the receiving party prior to the date of disclosure; (iv) becomes known to the receiving party from a third party having an apparent bona fide right to disclose the information; and (v) Confidential Information that the receiving party is obligated to produce to an order of court of competent jurisdiction or a valid administrative subpoena, provided the receiving party provides disclosing party timely notice of such court order or subpoena. For the purposes of this clause, ANZ use a third party provider, known as LogMeIn, Inc. (LogMeIn). ANZ will use LogMeIn's server to collate information such as, the time and date the ANZ Remote Training and Assistance service was accepted by you and the outcomes of this session with you for a period of 90 days to aid the resolution of any disputes that may arise. You agree to having this information collected on LogMeIn's server. Privacy & Security The Privacy and Security provisions contained within your ANZ Transactive documentation signed by you will apply to these Terms and Conditions. Legal Disclaimer of Warranties You hereby acknowledge and agree that the ANZ Remote Training and Assistance service is provided by ANZ on an "as is" basis, and your access to and/or use of the ANZ Remote Training and Assistance service is at your sole risk. ANZ expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, those of merchantability, satisfactory quality, title, fitness for particular purpose, and non-infringement to the extent possible at law. ANZ makes no warranty that ANZ Remote Training and Assistance service will meet your requirements or that the service will be uninterrupted, timely or error-free. You agree that any material and/or data downloaded or otherwise obtained (including any plug-ins) through the use of this service is done at your sole risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material and/or data. Limitation of Liability In no event shall ANZ be liable for any indirect, special, consequential or incidental, multiple, punitive or other damages related to these Terms and Conditions (including without limitation, loss of data, loss of income, loss of opportunity, lost profits, costs of recovery or any other damages), however caused and based on any theory of liability and whether or not for breach of contract, negligence, or otherwise and whether or not ANZ has been advised of the possibility of such damages. ANZ's liability hereunder is limited to the fees paid by you for the ANZ Remote Training and Assistance service. Indemnification You hereby agree, at your sole expense, to indemnify, defend and hold ANZ harmless from and against any loss, cost, damages, liability or expense arising out of or relating to (i) third party claims, suit, proceeding, action or allegation of infringement based on information, data, files or other content submitted by you or otherwise related to your access to and/or use of the ANZ Remote Training and Assistance service; or (ii) any fraud or manipulation, or other breach of these Terms and Conditions by you. Governing Law These Terms and Conditions are governed by the laws of the State of Victoria, Australia and the parties submit to the jurisdiction of the Courts of that State and of any Courts competent to hear appeals from those Courts.
